Terms & Conditions

Who we are

Zemega Inc. (a Delaware, USA corporation) provides online ordering software and websites for stores (usually restaurants) and partners.

Who can use it

This platform is for business use. If you sell through a Zemega website, you must be doing so for a business purpose. You must be at least 18 years old.

Stores can be located anywhere, but we only fully support countries supported by Stripe. We do not serve users or businesses subject to US sanctions.

Verification

To create a store, or to become a local or community partner, ID verification is required.

All placed orders will have a verified phone number and a verified email address.

Partners

Local partner: helps a store set up and run its site. Earns on every order of that store, 0-5%.

Community partner: runs its own multi-store website. Earns 0-10%, only on orders placed on its own website.

The platform fee is a fixed 1%. Partner percentages are agreed between the store and the partner. Zemega only executes the split. A partner can be both local and community partner.

Community partner earnings depend only on which website the order was placed on. There are no cookies or tracking windows. An order placed on the store's own site does not pay a community partner. (unless store's own site set a different fee as a partner. it is 0% by default)

A local partner may raise their percentage up to 5% without store approval. New percentages apply to future orders only. A placed order never changes.

Partners must not spam, place fake orders, order from themselves for commission, or misuse other brands.

Merchant of record

The store/seller is always the merchant of record. Customers pay the store. Zemega does not sell the food or goods.

Fees

Fees are the platform fee plus partner fees, and are taken from each order. Stores choose to absorb them, pass them to customers, or split them.

Stripe processing fees are always paid by the store. They are separate from our fees.

Reverse Charge VAT may be applicable. Service fees are subject to reverse charge / VAT rules in your own country. Sellers are responsible for handling that correctly. Zemega does not collect VAT on service fees.

If we change the platform fee, we give at least 30 days notice by email. It applies to future orders only.

Payments

Card payments run through Stripe Connect (direct charges). By using them you also agree to the Stripe Connected Account Agreement .

Stores may also offer their own payment methods (cash, card terminal, PayPal, etc.). The store collects that money itself. The fees for those orders are taken from the store balance.

Store balance

Zemega keeps a balance for each store/seller. We aim to keep that balance at least slightly positive.

If the balance is negative, we may raise Stripe application fees on next stripe payment to make balance positive again. While the balance is negative, non-Stripe payment options (any payment method we cannot control) are automatically hidden for your store.

You can top up by credit card (card processing fees apply) or by manual bank transfer via Wise.

A positive balance never expires. You can ask for a refund of it at any time.

Partner payouts

Partners are paid by Stripe Connect transfers. Earnings are sent automatically 14 days after the order. Partners need a verified Stripe account to receive them.

Earnings from orders paid outside Stripe are covered by the store's balance. Until covered, they are marked unpaid. If they stay unpaid, the partner never receives them.

Cancellations, refunds & chargebacks

Partners earn zero on cancelled, refunded and charged-back orders. That way fake orders do not pay partners.

Stores may cancel or refund for free up to 5% of orders in the last 30 days (counted by number of orders, for all stores). Fees of those orders are returned to the store balance.

Above 5%, Zemega keeps the full fees of those orders. That way fake cancels do not help stores either.

Stripe processing fees are never returned. Chargebacks and their dispute fees are always paid by the store.

Goal: neither side gains from fake orders or fake cancels.

Blocking buyers

Stores can block users to help stop fake or abusive orders.

Pickup & delivery

Zemega does not deliver anything. Orders are pickup or store delivery only. The store is fully liable for fulfillment, food safety, allergens and delivery.

Customer data & privacy

Customer data belongs to the store. The store is the data controller. Zemega processes it only to run the software.

A store's local partner can see its customer data. Community partners cannot see customer data.

Everyone must use customer data only to run orders and must not sell it or spam customers.

Prohibited use

No illegal goods, fraud, fake orders, abuse, or hacking. Age-restricted items (like alcohol) are allowed only if local law allows and you check age. Breaking this can lead to suspension.

Your responsibility

Sellers set prices, taxes, menu details, fulfillment, refunds, and customer issues. Accurately handling all of that is your responsibility.

You keep ownership of your menu, images and logos, and give us permission to show them on Zemega websites and any partners' websites. If someone makes a claim about your food, prices, taxes or content, store must cover it, not Zemega.

Disabling & closing

Stores can disable ordering at any time. There is no delete store feature. Disabling does not remove fees, unpaid amounts or your data.

If a local partner leaves, the store stays active and keeps its account. Local partner fee changes follow the Partners section.

We may suspend or close any account for breaking these terms, fraud, or legal reasons. Positive balances are refunded unless needed to cover owed amounts.

Our role

We provide software. A fair and trackable system for everyone to earn money. We do not guarantee sales or how other partners perform.

The software is provided "as is". We do not promise it will always be online or error free. Our liability is limited to the fees you paid us in the last 3 months. We are not liable for lost sales, downtime, or issues caused by Stripe or other third parties.

Governing law

These terms follow the laws of the State of Delaware, USA. Disputes go to the courts of Delaware.

Changes

We may update these terms. If you keep using Zemega after a change, you accept the updated terms. Fee changes follow the Fees section.

If a part of these terms is invalid, the rest still applies. We may notify you by email.
